Summary Profile

Banzi Malinga is a director of our Corporate and Commercial practice. His area of focus is mergers and acquisitions. He has been lead legal adviser in some of the country's largest and high profile mergers and acquisitions transactions during the last 10 years, and has advised on various transaction of national and international significance. Banzi is a member of the firm's National Executive Committee and has served on this committee for the last six years.

Career

Banzi joined Hofmeyr Herbstein and Gihwala (now Cliffe Dekker Hofmeyr) as a director in 2001.

Experience

  • Advised the Public Investment Corporation in its joint acquisition of the V&A Waterfront in Cape Town (deal value over R9 billion; regarded by the market as the biggest commercial property deal in SA to date).
  • Advised the Shanduka Group and Mr Cyril Ramaphosa in its/his acquisition of the business of MacDonald's Corporation SA and the acquisition of the Master Franchise for South Africa (deal value confidential).
  • Advised Mvelaphanda Group in its unbundling and the listing on the JSE of all of its shares in its erstwhile subsidiary, Mvelaserve (deal value over R1 billion).
  • Advised Pareto in its acquisition of Old Mutual's 50% ownership interest in the letting business undertaken by Old Mutual in Menlyn Park Shopping Centre and Cavendish Square Shopping Centre for approximately R2,4 billion.
  • Advised Foskor in a transaction where its employees, communities and BEE groupings acquired 26% of its shares (deal value confidential).
  • Advised Vodacom Group in its acquisition of the data and telephony business of Gateway plc in more than 8 countries in the African continent (transaction value over $4 billion).
  • Advised Vodacom Group in its broad-based BEE transaction (transaction valued over $7,5 billion).
  • Advised Mvelaphanda Holdings during the restructuring of its shareholding in Mvelaphanda Resources, the introduction of Afripalm Resources as a co-controlling shareholder, the acquisition of the controlling interest in Northam from Anglo Platinum, and the acquisition of Anglo Platinum's entire 50% interest in the Booysendal Platinum Project. This transaction was ranked as deal of the year by Dealmakers Magazine in 2008 because of its complexity.
  • Advised in the establishment of African Global Capital, a minerals and resources focused private equity fund with over $3 billion of investments all over the African continent.
  • Advised on the merger of the assets of Mvelaphanda Holdings and Rebserve Holdings and the creation of the listed diversified Mvelaphanda Group (transaction value over R2 billion).
  • Advised on the acquisition by Batho Bonke Capital of 10% of the issued share capital in ABSA Group in 2004, and the subsequent refinancing of the transaction during 2009 (transaction value over $4 billion).
  • Advised Brimstone Investment Corporation on its acquisition of shares in both Old Mutual plc and Nedcor (transaction value about $7,1 billion).
